Ryft — Terms of Service & License Agreement
Last updated: October 6, 2026 Effective date: October 6, 2026
These Terms of Service and License Agreement (the "Terms" or this "Agreement") form a binding legal contract between you and Ryft Security, LLC, a limited liability company formed in Virginia, United States ("Ryft," "we," "us," or "our"), and govern your access to and use of the website located at ryftapi.com (the "Site") and the Ryft desktop software application and all related components (the "Software"). The Software and the Site are referred to together, where context permits, as the "Service."
PLEASE READ THESE TERMS CAREFULLY. THE SOFTWARE IS AN OFFENSIVE SECURITY TESTING TOOL. YOU MAY USE IT ONLY AGAINST SYSTEMS YOU OWN OR ARE EXPRESSLY AUTHORIZED IN WRITING TO TEST. THESE TERMS INCLUDE IMPORTANT DISCLAIMERS OF WARRANTIES (SECTION 13), A HIGH-RISK / EXCLUDED USES PROVISION (SECTION 14), A LIMITATION OF LIABILITY (SECTION 15), AN INDEMNIFICATION OBLIGATION (SECTION 16).
1. Introduction & Acceptance
1.1 Acceptance. By completing a purchase at checkout, by clicking a button or checkbox indicating acceptance, by downloading, installing, activating, or running the Software, or by otherwise accessing or using the Service, you agree to be bound by these Terms. You accept these Terms at two points, each of which independently binds you: (a) at the time you complete your purchase at checkout, and (b) on first run of the Software, when you may be asked to confirm acceptance. If you do not agree to these Terms, do not purchase, download, install, activate, or use the Service.
1.2 Documents incorporated by reference. The following documents are incorporated into and form part of this Agreement, and you agree to them by agreeing to these Terms: our Acceptable Use Policy, our Privacy Policy, our Cookie Policy, our Refund & Sales Policy, our Export Compliance & Sanctions Notice, our Support & Updates Policy, and our Sub-processors list (and our Data Processing Addendum, if and when one is executed between you and us), each as updated from time to time. In the event of a direct conflict among these documents, the following single order of precedence governs: (a) these Terms control, except that (b) an incorporated document controls over these Terms only where that document expressly states that it does so for its specific subject matter, and (c) the Data Processing Addendum (once executed) controls over these Terms and the other incorporated documents as to the processing of personal data. This order of precedence applies wherever a conflict arises under this Agreement.
1.3 Definitions. In this Agreement:
- "you" or "your" means the individual accepting these Terms and the organization on whose behalf that individual is acting; where an individual accepts on behalf of an organization, "you" refers to both.
- "Software" means the Ryft desktop application (including its Electron-based shell and local engine), in object-code form, together with any updates, upgrades, patches, and bundled components we make available to you under this Agreement.
- "License" means the limited right to use the Software granted to you under Section 3.
- "License Key" means the alphanumeric key or credential we issue to you to activate and use the Software.
- "Documentation" means the user guides, help content, and other materials we make available for the Software, whether in the Software, on the Site, or elsewhere.
- "Target System" means any application, interface, host, network, service, or system against which you direct the Software.
- "Order" means your purchase of a License through the Site.
2. Eligibility & Professional / Business-Use Representation
2.1 Age and capacity. You must be at least 18 years old and able to form a legally binding contract to use the Service.
2.2 Business and professional use only. The Service is offered and licensed for professional and business use only. It is not offered to, intended for, or directed at consumers, and it is not a consumer product. By accepting these Terms you represent and warrant that you are acquiring and using the Service solely in a business, professional, or occupational capacity for authorized security testing, and not for personal, household, or family purposes.
2.3 Authority to bind. If you accept these Terms on behalf of an organization, you represent and warrant that you have full legal authority to bind that organization to this Agreement, and "you" includes that organization.
2.4 No consumer reliance. Because the Service is offered exclusively for business and professional use, consumer-protection rules that apply only to consumer transactions are not intended to apply, except to the extent a right or protection cannot be excluded by law in your jurisdiction.
3. License Grant
3.1 Grant. Subject to your continuous compliance with this Agreement and your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, activate, and use the Software for your internal business purposes during the License Term.
3.2 Per-device / per-install scope. One (1) purchased License entitles you to activate and use the Software on one (1) device or installation. Each additional device or installation requires a separate License. Reinstallation of the Software on the same device (for example, after an operating-system reinstallation or hardware repair of that same device) is permitted under the same License and does not require a new purchase.
3.3 License Term. Each License is valid for a term of one (1) year beginning on the date of purchase (the "License Term"). The License is a one-time purchase of a one-year term; it is not a subscription and does not automatically renew. To continue using the Software after the License Term expires, you must purchase a new License.
3.4 Revocability. The License is revocable. We may suspend or terminate the License in accordance with Section 12, including for breach of this Agreement or the Acceptable Use Policy.
3.5 Reservation. All rights not expressly granted in this Agreement are reserved by us and our licensors. No rights are granted by implication, estoppel, or otherwise.
4. License Restrictions
You shall not, and shall not permit any third party to:
4.1 sell, resell, distribute, redistribute, sublicense, rent, lease, lend, host as a service, or otherwise make the Software available to any third party;
4.2 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Software, except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction, and then only after you have requested from us any interoperability information to which you are legally entitled and we have failed to provide it within a reasonable time;
4.3 modify, adapt, translate, or create derivative works of the Software, except as expressly permitted by this Agreement;
4.4 circumvent, disable, tamper with, or interfere with any licensing, activation, validation, anti-piracy, or security feature of the Software;
4.5 remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in or on the Software or Documentation;
4.6 use the Software on more devices or installations than your License permits, or otherwise exceed the scope of your License;
4.7 share, publish, or disclose your License Key, or use a License Key not issued to you; or
4.8 use the Service in violation of the Acceptable Use Policy, these Terms, or any applicable law.
5. Activation, Anti-Piracy & License Keys
5.1 Issuance and delivery. Upon successful payment, we generate a License Key and (a) email it to the address associated with your Order via our transactional email provider and (b) display it on the order-confirmation page. You activate the Software by entering the License Key.
5.2 Confidentiality of keys. Your License Key is confidential and personal to your License. You are responsible for keeping it secure and for all use of the Software activated with it.
5.3 Activation and validation measures. We may use reasonable technical measures to activate the Software, to validate Licenses, to enforce the per-device scope, and to detect and prevent piracy, key sharing, and other abuse. These measures may evolve over time and may include, in current or future versions, local verification of the License Key and, where implemented in a future version, online validation, device binding, or revocation. You consent to such reasonable measures. Nothing in this Section represents that online or device-bound validation is operative in any particular version of the Software at any particular time.
5.4 One-time annual; no auto-renewal. The License is a one-time purchase for a one-year term and will not auto-renew. We will not charge you again automatically. Any continuation of use beyond the License Term requires a new purchase.
5.5 Lost or reissued keys. If you lose your License Key, you may request reissuance by contacting support@ryftapi.com. We may require reasonable verification of your Order before reissuing a key.
6. Acceptable Use & Authorized Testing
6.1 Acceptable Use Policy incorporated. Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into this Agreement by reference. You must comply with it at all times.
6.2 Headline obligation — authorized testing only. The Software is an offensive security testing tool that can generate and send attack traffic — including vulnerability scans, fuzzing and brute-force requests through the "Forcer" component, authorization and cross-identity (BOLA) testing, and intercepted or replayed traffic — to any Target System you direct it at. Accordingly, you may use the Software only against Target Systems that (a) you own, or (b) for which you hold explicit, current, written authorization from the party legally entitled to grant it, covering the specific testing activities you perform and the specific Target Systems you test. You are solely responsible for obtaining and retaining that authorization and for ensuring your testing stays within its scope.
6.3 Your sole responsibility. You are solely responsible for all activity conducted through the Software and for the lawful, authorized, and appropriate use of the Service. You are responsible for configuring the Software's safety controls — including its authorization gate and its "aggressive actions" gate (which is off by default) — appropriately for your engagement, and for understanding that enabling additional capabilities may increase the risk of disruption to a Target System.
6.4 Neutral tool. The Software is a neutral, general-purpose security testing tool. We do not direct, monitor, control, or have visibility into the Target Systems you test or the activities you conduct. Any misuse of the Software, any testing without proper authorization, and any resulting harm are your responsibility, not ours.
6.5 Authorization must cover interception; wiretap and interception laws. Your written authorization under Section 6.2 must expressly cover not only access to and testing of the Target System but also the interception, capture, decryption, inspection, recording, and replay of communications and network traffic that the Software performs (including through its intercepting proxy and local certificate authority). You acknowledge that intercepting, capturing, decrypting, or recording communications without the consent required by law may independently violate wiretap and interception laws — including the U.S. Wiretap Act and the Electronic Communications Privacy Act (ECPA), U.S. state all-party-consent and anti-wiretapping statutes, and comparable laws in other jurisdictions — and that such a violation is a distinct offense from unauthorized access to a computer or system. You are solely responsible for obtaining all consents and authorizations required for any interception or traffic capture you perform.
7. Ownership & Intellectual Property
7.1 Our rights. The Software, the Site, the Documentation, and all related intellectual property are and remain the exclusive property of Ryft and its licensors. This Agreement grants you a license, not a sale, of the Software. All title, ownership rights, and intellectual property rights in and to the Software remain with us and our licensors.
7.2 Trademarks. "Ryft" and our logos are our trademarks. This Agreement does not grant you any right to use them except as necessary to identify the Software in connection with your authorized use.
7.3 Feedback. If you provide us suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, and exploit the Feedback for any purpose, without any obligation or compensation to you. You are not required to provide Feedback.
8. Updates, Versions & Changes to the Software
8.1 Updates during the License Term. During an active License Term, we may make updates, upgrades, and patches to the Software available to you. Unless accompanied by separate terms, any such update is part of the Software and governed by this Agreement.
8.2 Changes and discontinuation. We may, at our discretion, modify, add, or remove features of the Software and may discontinue the Software or any part of it. We have no obligation to maintain, support, or make available any prior version of the Software.
8.3 Resource fetching and license checks. The Software executes on your machine and does not transmit your testing data, captured traffic, scan findings, or target information to us. It does, however, connect to resources you direct it at (such as Target Systems and JavaScript bundles) and may connect to us or our providers to check for updates or to validate your License. The Software does not claim to be fully offline.
9. Fees, Payment & Taxes
9.1 Price. The price of a License is US$49.00 for a one-year term, as a one-time charge, unless a different price is displayed at checkout. Prices are stated and charged in United States Dollars unless otherwise indicated.
9.2 Payment processor. Payments are processed by Stripe through Stripe Checkout. By purchasing, you agree to Stripe's applicable terms. We do not receive or store your full payment card number.
9.3 Promotional codes. We may offer promotional or discount codes. Such codes are subject to any terms stated at the time of offer, may be withdrawn or modified at any time, cannot be combined unless expressly permitted, and have no cash value.
9.4 Taxes. The stated price may not include taxes. You are responsible for all sales, use, VAT, GST, and similar taxes or duties associated with your purchase, other than taxes based on our net income. Where we are required to collect such taxes, they may be added to your charge at checkout.
9.5 Accurate information. You agree to provide current, complete, and accurate purchase and billing information.
10. No Refunds / All Sales Final
10.1 All sales final. All purchases are final and non-refundable. Our Refund & Sales Policy is incorporated into this Agreement by reference.
10.2 One-time, non-renewing. Because each License is a one-time purchase for a one-year term that does not auto-renew, no proration, cancellation, or refund of any portion of the fee is available.
10.3 Statutory exceptions. Nothing in this Section limits any refund or other right you may have that cannot be lawfully excluded or waived under applicable law. To the extent such a non-excludable right applies, our liability is limited to the minimum required by that law.
11. Third-Party Components & Services
11.1 Third-party services. The Service relies on third-party services, including Stripe (payment processing), our hosting and download infrastructure, our transactional email provider, and operating-system features such as OS keychains. Your use of those services may be subject to the third parties' own terms, and we are not responsible for them.
11.2 Open-source and third-party components. The Software may include open-source or other third-party components licensed under their own terms. Those terms govern your use of those components, and to the extent they conflict with this Agreement with respect to those components, the component terms control for those components only. A list of such components and their licenses may be made available in the Documentation or within the Software.
11.3 No warranty for third-party items. Third-party services and components are provided by their respective providers, and we make no warranties and assume no liability with respect to them.
12. Term & Termination
12.1 Term. This Agreement takes effect when you first accept it and continues until the end of your License Term or until terminated as provided here, whichever is earlier. Provisions that by their nature should survive will survive.
12.2 Termination for breach. We may suspend or terminate this Agreement and your License, effective immediately and without notice, if you breach this Agreement, and in particular if you breach the Acceptable Use Policy or Section 6 (Authorized Testing), Section 4 (License Restrictions), or Section 17 (Export Control).
12.3 Effect of termination. Upon expiration or termination, your License ends, and you must immediately cease all use of the Software and, at our request, uninstall and delete all copies in your possession or control. Your License Key will be void and may be disabled.
12.4 No refund on termination for breach. Termination for your breach does not entitle you to any refund.
12.5 Survival. Sections 2, 3.4, 3.5, 4, 6, 7, 9 (as to amounts owed), 10, 11, 13, 14, 15, 16, 17, 18, 19, 20, 21, 23, and 24, and any other provision that by its nature should survive, survive termination or expiration of this Agreement.
13. Disclaimer of Warranties
13.1 As-is. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING THE SOFTWARE, THE SITE, AND THE DOCUMENTATION, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE AND OUR LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
13.2 No warranty as to results. WE DO NOT WARRANT THAT THE SOFTWARE WILL FIND ALL VULNERABILITIES OR SECURITY ISSUES, THAT IT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ITS RESULTS WILL BE ACCURATE OR COMPLETE. THE SOFTWARE'S SCANNER AND OTHER CHECKS MAY PRODUCE FALSE POSITIVES AND FALSE NEGATIVES. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY RESULTS AND FOR YOUR SECURITY DECISIONS.
13.3 Security-testing risk. YOU ACKNOWLEDGE THAT SCANNING, FUZZING, BRUTE-FORCING, INTERCEPTING TRAFFIC, AND OTHERWISE ATTACKING OR PROBING SYSTEMS CAN DISRUPT, DEGRADE, OR DAMAGE TARGET SYSTEMS AND THE DATA AND SERVICES THEY SUPPORT, AND MAY HAVE OTHER UNINTENDED CONSEQUENCES. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SOFTWARE AGAINST ANY TARGET SYSTEM. THE SOFTWARE INSTALLS A LOCAL CERTIFICATE AUTHORITY ON YOUR MACHINE TO OPERATE ITS INTERCEPTING PROXY; YOU ARE RESPONSIBLE FOR UNDERSTANDING AND MANAGING THE SECURITY IMPLICATIONS OF THAT LOCAL CERTIFICATE AUTHORITY, INCLUDING REMOVING IT WHEN IT IS NO LONGER NEEDED, AND YOU MUST INSTALL IT ONLY ON DEVICES YOU OWN OR ARE AUTHORIZED TO CONFIGURE. SAVED PROJECTS MAY BE STORED LOCALLY AS ENCRYPTED BUNDLES PROTECTED BY A PASSPHRASE YOU SET OR BY YOUR OPERATING-SYSTEM KEYCHAIN; YOU ARE SOLELY RESPONSIBLE FOR SAFEGUARDING YOUR PASSPHRASES AND KEYS, AND A LOST PASSPHRASE MEANS LOST DATA THAT WE CANNOT RECOVER.
13.4 No guarantees of support or availability. We do not guarantee any level of support, uptime, or service availability. Support, if provided, is best-effort. We make no representation that the Software or any of its components has undergone any particular certification or audit, and none should be inferred.
13.5 Statutory limits. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum scope and duration permitted by law.
14. High-Risk / Excluded Uses
14.1 Not for high-risk or safety-critical use. The Software is a general-purpose offensive security testing tool. It is not designed, intended, manufactured, or licensed for any use in which the failure, malfunction, or effects of the Software could lead to death, personal injury, or severe physical or environmental damage.
14.2 Excluded systems. Without limiting Section 14.1, you must not use the Software against, and the Software is not licensed for use affecting, safety-of-life systems, medical devices or clinical systems, aircraft or other transportation control systems, nuclear facilities, emergency or life-support systems, weapons systems, or critical-infrastructure and industrial control systems (including SCADA, ICS, and operational-technology environments), in each case absent specific, separate written authorization from the party legally entitled to grant it.
14.3 Assumption of risk. If, notwithstanding this Section, you direct the Software at any such system or use, you do so entirely at your own risk, you assume all risk and responsibility for any resulting harm, and the disclaimers, limitations of liability, and indemnification obligations in this Agreement apply in full to that use.
15. Limitation of Liability
15.1 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, OR FOR ANY DAMAGE TO OR DISRUPTION OF ANY TARGET SYSTEM OR OTHER SYSTEM, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID US FOR THE LICENSE GIVING RISE TO THE CLAIM (FOR A SINGLE LICENSE PURCHASE, THIS IS US$49.00).
15.3 Cap applies to our liability to you only. The limitation in Section 15.2 limits Ryft's aggregate liability to the Licensee only. It does not limit, cap, or reduce your indemnification obligations under Section 16, or any amounts you owe us for a License.
15.4 Non-excludable liability. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including, where applicable, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or willful misconduct to the extent such liability cannot be excluded or limited by law. Where liability cannot be excluded but can be limited, our liability is limited to the maximum extent permitted by law.
15.5 Allocation of risk. You acknowledge that the disclaimers and limitations in Sections 13, 14, and 15 are a fundamental basis of the bargain between you and us and reflect a reasonable allocation of risk given the price of the Software and its nature as an offensive security testing tool.
16. Indemnification
You agree to defend, indemnify, and hold harmless Ryft and its members, managers, officers, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) any testing you conduct that is unauthorized, out of scope, or unlawful; (c) any damage to or disruption of any Target System or other system caused by your use of the Software; (d) your violation of any law or regulation or of any third-party right, including privacy, property, or intellectual-property rights; or (e) your breach of this Agreement, including the Acceptable Use Policy. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. You will not settle any such matter in a way that imposes any obligation or admission on us without our prior written consent.
17. Export Control & Sanctions
17.1 Export notice incorporated. The Software includes cryptographic functionality (among other things, it encrypts local project bundles, uses TLS, and installs a local certificate authority for its proxy) and is subject to export-control and sanctions laws. Our Export Compliance & Sanctions Notice is incorporated into this Agreement by reference.
17.2 Your obligations. You represent, warrant, and covenant that you will comply with all applicable export-control and sanctions laws, including the U.S. Export Administration Regulations (EAR) and the economic sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You will not export, re-export, transfer, or use the Software in violation of those laws.
17.3 Restricted parties and territories. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions or embargo, and that you are not identified on any U.S. government denied-, restricted-, or prohibited-party list. You will not make the Software available to any such person, entity, country, or territory.
18. Compliance with Laws & Restricted Jurisdictions
18.1 Your responsibility for legality. You are solely responsible for determining whether, and ensuring that, your acquisition and use of the Software is lawful in each jurisdiction in which you are located or in which you use it, and for complying with all applicable laws.
18.2 Dual-use and encryption restrictions. You acknowledge that some countries restrict or prohibit the import, possession, distribution, or use of security testing or "dual-use hacking" tools and/or strong encryption. The Software is not offered for use where such use is prohibited, and you must not acquire or use it in any such jurisdiction in violation of applicable law.
19. Privacy
Our collection and use of personal data in connection with the Site and your purchase is described in our Privacy Policy, which is incorporated into this Agreement by reference. As described there, the Software is local-first and does not transmit your testing data, captured traffic, scan findings, or target information to us, and the Software contains no usage analytics or telemetry.
20. Governing Law & Venue
This Agreement and any dispute arising out of or relating to it or the Service are governed by the laws of the State of Virginia, United States, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. You and we agree that the exclusive venue for any dispute will be the state and federal courts located in Virginia, and you and we consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
21. Dispute Resolution
21.1 Informal resolution first. Before commencing any formal proceeding, you agree to first contact us at legal@ryftapi.com with a written description of the dispute and to attempt in good faith to resolve it informally. You and we will attempt to resolve the dispute through good-faith negotiation for at least thirty (30) days from the date of that notice before initiating litigation.
21.2 Litigation. Any dispute not resolved under Section 21.1 will be resolved exclusively in the state and federal courts located in Virginia, as provided in Section 20, and you and we consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.
22. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice (for example, by posting on the Site or notifying you by email). Changes are effective when posted unless we state otherwise. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service; changes do not alter the price or License Term of a License you have already purchased.
23. Miscellaneous
23.1 Assignment. You may not assign or transfer this Agreement or any rights or obligations under it, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section is void. We may assign this Agreement freely, including in connection with a merger, acquisition, reorganization, or sale of assets.
23.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
23.3 No waiver. Our failure to enforce any provision of this Agreement is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
23.4 Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, utility or network failures, and failures of third-party providers.
23.5 Entire agreement. This Agreement, together with the documents incorporated by reference in Section 1.2 (our Acceptable Use Policy, Privacy Policy, Cookie Policy, Refund & Sales Policy, Export Compliance & Sanctions Notice, Support & Updates Policy, and Sub-processors list, and the Data Processing Addendum if and when executed), constitutes the entire agreement between you and us regarding the Service and supersedes all prior or contemporaneous understandings on that subject. Any conflict among these documents is resolved under the single order of precedence in Section 1.2.
23.6 Notices. We may provide notices to you by email to the address associated with your Order or by posting on the Site. You must send legal notices to us at legal@ryftapi.com.
23.7 Headings. Section headings are for convenience only and do not affect interpretation.
23.8 Relationship of the parties. You and we are independent contractors. This Agreement does not create any partnership, joint venture, agency, employment, or fiduciary relationship.
23.9 Government end users. If you are a U.S. government end user, the Software is "commercial computer software" and its documentation is "commercial computer software documentation," and any use, duplication, or disclosure by the U.S. Government is subject to the restrictions in this Agreement as permitted by FAR 12.212 and DFARS 227.7202, as applicable; your rights are only those granted to all other users under this Agreement.
